Legal Counsel EMEA South

Summary

Person will be responsible of contract negotiation and transactional legal work, with a primary focus on customer, supplier, and partner contracts across Hexagon’s EMEA South region (France, Italy, Spain, Middle East, Turkey, and Africa). 

 

Reports to:  Division General Counsel, Hexagon Manufacturing Intelligence division (USA)

Job Responsibilities

  • Legal/contracts support for Hexagon Manufacturing Intelligence division for its EMEA South region (and other EMEA countries as assigned by manager).  
  • Draft, review, and negotiate a wide range of commercial agreements, including software license agreements, professional services agreements, channel partner and supplier agreements, confidentiality agreements, and IT-related contracts.
  • Ensure compliance with corporate and divisional policies and acceptable risk standards.
  • Liaise with and escalate issues in a timely manner to internal stakeholders as appropriate for determination/resolution.
  • Advise management of contractual rights and obligations and assist on requests for analysis of contracts in connection with other business transactions.  
  • Support local management and provide advice and counsel on regional or country-specific legal issues.
  • Actively identify and drive improvements to contract risk management and contracting efficiency.
  • Train business teams to enhance their working knowledge of contract risk management issues.
  • Assist with other legal matters as may be required from time to time (e.g., corporate law matters, compliance programs, M&A activities, litigation, employment law matters).  
  • Occasional travel may be required.   

Qualifications

  • 4+ years legal experience in drafting and negotiating commercial technology agreements, in-house or in international law firms.
  • Strong oral and written communication skills in English, French, and Italian, and ability to draft and negotiate contracts in English, French, and Italian.
  • Prior experience in software, device, or cloud-based contract environments is highly desirable.
  • Law degree and member of a European Bar. French or Italian qualified attorney preferred.
  • Ability to independently develop and execute plans to negotiate and resolve contractual matters, to work independently on complex tasks
  • Ability to interact with management, sales, and customers to effectively achieve business solutions within the acceptable legal framework.    
  • Strong organizational skills with the ability and willingness to manage multiple initiatives simultaneously to meet multiple time sensitive deadlines. 
  • Capable of working effectively under pressure.
  • Good influencing and presentation skills.
  • Prior experience in software, device, or cloud-based contract environments is highly desirable.
